4. INTERFACE PURPOSE
The Interface is a technological, non-custodial front-end through which you may interact directly with open-source, autonomous smart contracts and decentralized protocols deployed on public blockchain networks. The Operator does not control those smart contracts and/or protocols, does not custody any digital assets, and does not perform, facilitate, intermediate, or arrange any financial, securities, payment, exchange, or brokerage services. All transactions executed by Users are initiated, signed, and broadcast exclusively by the User through their own non-custodial wallet. The Interface performs no financial, economic, or intermediary function. The Operator does not hold, transfer, receive, transmit, or custody any digital assets on behalf of the User. The Operator does not match buyers with sellers or otherwise facilitate an exchange or trading venue, and does not execute, clear, or settle transactions on behalf of Users. Furthermore, nothing on the Interface is meant to constitute investment advice or portfolio management.
The Operator is not registered with the Financial Crimes Enforcement Network (FinCEN) as a money services business or in any other capacity. You understand and acknowledge that the Operator is not a marketplace facilitator, a financial institution, broker, exchange, clearing house, or creditor, nor does it broker trading orders on your behalf or match orders for buyers and sellers of securities. While the Interface provides infrastructure to transmit cross-chain messages via decentralized protocols, the Operator is not involved in executing or settling trades (all such activity takes place directly between users entirely on public distributed blockchain networks).
You acknowledge and agree that all transfers or any other actions that may be undertaken via the Interface are unsolicited; and that you have not received, nor relied upon, any investment advice from the Operator regarding such actions. The Operator does not assess the suitability of any such actions for the User, and the User is solely responsible for determining whether any investment, investment strategy, or related transaction is appropriate for them based on their personal objectives, financial circumstances, and risk tolerance.
The Interface does not provide, and does not purport to provide, any financial, investment, legal, or tax advice or services. Use of the Interface should not be construed as an offer or solicitation to buy or sell any financial instrument or as a recommendation to engage in any transaction. You should consult with qualified professionals before making any financial decisions. The Interface is intended solely as a technical interface to decentralized systems, and no fiduciary relationship is created between you and the Operator. Users irrevocably acknowledge, agree, and understand that:
- The Operator does not own, control, or operate the services facilitated by the Interface and disclaims all liability for the content, functionality, or outcomes of any interaction with the Interface;
- The Operator does not take possession, custody, or control of user assets at any time, nor does it route trades or execute transactions on behalf of users;
- Use of the Interface is at the User’s own risk, and the Operator shall not be liable for any loss, damage, or claims arising from failed transactions, network issues, or smart contract vulnerabilities associated with cross-chain swaps;
- Information provided on the Interface is for informational purposes only and shall not constitute financial, investment, or trading advice from the Operator, nor shall any such information be deemed, nor shall the Operator be deemed in any event to be providing, an endorsement or recommendation of any specific digital asset or decentralized protocol;
- The content of the Interface does not constitute an offer to buy or sell or a solicitation of an offer to buy or sell investments, securities, partnership interests, commodities, or any other financial instrument(s), nor does it constitute, and may not be used for or in connection with, an offer or solicitation by anyone in any state or jurisdiction in which such an offer or solicitation is not authorized or permitted, or to any person to whom it is unlawful to make such offer or solicitation;
- The presentation of information does not imply any association with or endorsement of any third party, even if certain functionalities provided in connection with the Interface require the use of such third party products or services;
- Users are solely responsible for verifying the accuracy and suitability of any transaction initiated through the Interface, and agree to conduct their own research and consult with qualified professionals before engaging in any cross-chain transactions;
- Cross-chain transactions are inherently risky, and Users assume full responsibility for any associated risks, including, but not limited to, smart contract exploits or vulnerabilities, front-running, blockchain forks or reorgs, validator failures, or any other chain-specific issues;
- Users shall comply with all applicable laws, regulations, and any other legal requirements in their jurisdiction as each may apply to the Interface;
- The Operator reserves the right to collect any applicable fees, including, without limitation, fees for routing, positive slippage, gas costs, network fees, fees for displaying third-party decentralized protocols, and transaction fees; and
- Users are solely responsible for determining whether and to what extent any taxes apply to any transaction via the Interface and for withholding, collecting, reporting, and remitting the correct amount of tax to the appropriate tax authorities.
5. NON-CUSTODIAL INTERFACE
The Interface is a non-custodial application that enables users to interact with decentralized protocols and smart contracts to facilitate the transfer of digital assets across different blockchain networks. At no point does the Operator ever take possession, custody, or control of user assets. The Interface allows users to connect non-custodial wallets, but at no point does the Operator host, maintain, or manage such wallets. By accessing and using the Interface, you acknowledge and agree that: (i) any interaction with non-custodial wallet is solely between you and the third-party provider of that wallet; (ii) the use of any non-custodial wallet is subject to the terms and conditions of the applicable third-party provider; (iii) the Operator is not responsible for any acts or omissions of the wallet provider, including, but not limited to, delays, errors, or losses related to wallet connectivity or signature approval mechanisms; and (iv) any actions taken through your non-custodial wallet (e.g., approving transactions) are final and irreversible. The Operator has no access to, control over, or ability to reverse, pause, or modify any transaction broadcast by Users through their non-custodial wallet. The Operator is not a party to any transaction or legal relationship arising from any on-chain interaction; does not transmit, route, or relay transaction instructions or digital assets; and does not receive or hold any digital assets at any stage of any transaction. Users are solely responsible for:
- Securing and maintaining the confidentiality of their private keys, seed phrases, and wallet credentials;
- Ensuring the accuracy of all transaction data, including recipient addresses and token amounts, before signing and broadcasting any transaction;
- Maintaining sufficient funds for gas fees and any other on-chain transaction costs; and
- The consequences of any transaction they initiate, including any erroneous, mistaken, or fraudulent transaction.
The Operator will never request your private keys, seed phrases, or wallet credentials. Any such request from any person purporting to represent the Operator should be treated as fraudulent. Users acknowledge that errors in transaction data, including incorrect recipient addresses, incorrect amounts, or incorrect network selection, cannot be corrected by the Operator and may result in permanent loss of digital assets.
6. CROSS-CHAIN TRANSACTIONS
The Interface provides a frontend through which Users may optionally interact with decentralized protocols, including, but not limited to, the LayerZero Protocol and the Chiliz Bridge, to initiate cross-chain transactions for compatible digital assets, including $CHZ and Fan Tokens. These cross-chain messaging protocols are third-party, decentralized, open-source protocols deployed on public blockchain networks. The Operator does not own, control, operate, or maintain such protocols; does not guarantee the availability, security, accuracy, or continued operation of these protocols; is not responsible for any loss, error, delay, or failure arising from or related to the protocols or any public blockchain network; and does not endorse any blockchain network, protocols, or any digital asset accessible via such protocols. You acknowledge that cross-chain transactions are irreversible, dependent on the continued functioning of multiple independent blockchain networks and protocols, including the LayerZero Protocol and Chiliz Bridge, and subject to all risks inherent in cross-chain operations.
7. PROHIBITED ACTIVITIES
You agree not to engage in, or attempt to engage in, any of the following prohibited activities in connection with your access and/or use of the Interface, unless applicable laws or regulations prohibit these restrictions or you have our written permission to do so:
- copy, reproduce, alter, modify, adapt, translate, distribute, transmit, display, perform, duplicate, publish, license, sublicense, assign, create derivative works from, or offer for sale the Interface, including any underlying code, software, or other components that comprise the Interface, except (i) for temporary files that are automatically cached by your web browser for display purposes, (ii) for personal, non-commercial use of screenshots or screen recordings, provided such content includes proper attribution to the Interface and does not misrepresent the Interface or its content, or (iii) as otherwise expressly permitted in these Terms;

8. RISK DISCLOSURES
By accessing and using the Interface, you represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of blockchain technologies, cryptocurrencies, and other digital assets, self-custody mechanisms, and blockchain-based software systems to be able to assess and evaluate the risks and benefits of the Interface contemplated hereunder, and will bear the risks thereof, including loss of all amounts paid or stored, and the risk that the cryptocurrencies and other digital assets may have little or no value. You specifically understand that blockchain-based transactions are irreversible. By using the Interface, you expressly acknowledge and accept all risks associated with digital assets, blockchain technology, and decentralized protocols, including but not limited to the following:
- Smart Contract risk: Smart contracts are software and may contain bugs, errors, vulnerabilities, or exploits that may result in partial or total loss of digital assets. Smart contracts accessible through the Interface have not necessarily been audited by the Operator.
- Blockchain Risk: Blockchain networks may experience forks, reorganizations, network outages, validator failures, or other disruptions that may delay, prevent, or invalidate transactions.
- Bridge Risk: Cross-chain transactions depend on the security, availability, and correctness of the cross-chain protocols and multiple underlying blockchain networks. Failures, exploits, or outages in any component may result in total or partial loss of assets.
- Key Management Risk: Loss of private keys or seed phrases results in permanent and irrecoverable loss of access to any associated digital assets.
- Upgrade Risk: Protocol upgrades, hard forks, or deprecation of smart contracts may render prior transactions, balances, or tokens inaccessible.
- Volatility Risk: Digital assets are highly volatile. The value of any digital asset may fluctuate materially and may fall to zero. Past performance is not indicative of future results.
- Liquidity Risk: Digital assets may become illiquid, making it impossible to exchange or transfer them at any given time.
- Fee Risk: Blockchain gas fees and protocol fees may be significant, unpredictable, and subject to rapid change.
- Slippage and MEV: Transactions may be subject to slippage, sandwich attacks, maximal extractable value (MEV) exploitation, or other forms of on-chain value extraction beyond the Operator’s control.
- Regulatory Risk: The regulatory treatment of digital assets, blockchain networks, and decentralized protocols is evolving rapidly across jurisdictions. Changes in applicable laws may adversely affect the legal status, usability, or value of digital assets or the Interface itself.
- Tax Risk: Digital asset transactions may give rise to tax obligations in your jurisdiction. You are solely responsible for complying with all applicable tax reporting and payment obligations.
- No Deposit Protection: Digital assets held in non-custodial wallets are not protected by any deposit insurance scheme, investor compensation fund, or equivalent protection applicable to fiat currency deposits or traditional financial instruments. No governmental authority guarantees the value or recoverability of digital assets.
9. INTELLECTUAL PROPERTY
The Interface, including, without limitation, its “look and feel” (e.g., text, graphics, images, logos), and all content, software, design elements, trademarks, service marks, logos, and other materials comprising the Interface (collectively, “Operator IP”) are the exclusive property of the Operator or its licensors. Nothing in these Terms transfers any right, title, or interest in Operator IP to any User. You must not copy, reproduce, distribute, adapt, modify, create derivative works of, reverse engineer, disassemble, or attempt to extract the source code of the Interface or any Operator IP without prior written consent.
The Interface may incorporate or interact with open-source software components, including smart contracts and decentralized protocols, which are governed by their respective open-source licences. Nothing in these Terms modifies or supersedes the terms of any such open-source licence. The Operator makes no representations regarding the security or fitness for purpose of any open-source component.

15. FEEDBACK
You acknowledge and expressly agree that any contribution by you of any bug report, comment, idea, enhancement and/or enhancement request, recommendation, proposal, correction, suggestion for improvement(s), or other feedback of any kind, in any forum, with respect to the Interface (“Feedback”) shall become the sole and exclusive property of the Operator and does not and will not give or grant you any right, title, or interest in or to the Interface, Operator IP, or any such Feedback. You agree that the Operator may use and disclose your Feedback in any manner and for any purpose whatsoever without further notice or compensation to you, and without retention by you of any proprietary or other right or claim. You hereby irrevocably assign to the Operator any and all right, title, and interest (including, but not limited to, any patent, copyright, trade secret, trademark, show-how, know-how, moral rights, and any and all other intellectual property right) that you may have in and to any and all Feedback, and, to the extent that any rights in and to Feedback cannot be assigned (including without limitation any moral rights), you hereby agree to waive such rights. To the extent that any Feedback is not assignable, you hereby grant to the Operator a fully paid up, royalty-free, worldwide, perpetual, exclusive, irrevocable, sublicensable (with the right to sublicense through multiple tiers), and transferable right and license to use, create derivative works of, reproduce, re-format, perform, display, adapt, modify, distribute, and commercialize, or otherwise commercially or non-commercially exploit in any manner, any and all such Feedback for any purpose, including, but not limited to, by incorporating any Feedback into the Interface.
16. TERMINATION AND SUSPENSION
The Operator may, at its sole discretion and without prior notice or liability, restrict, suspend, or terminate any User’s access to the Interface, including by: (a) geofencing or blocking access from specific IP addresses, regions, or countries; (b) disabling specific features, protocols, or digital assets from the Interface; or (c) discontinuing the Interface entirely. Such measures do not constitute the provision of any service to Users and do not create any obligation or liability on the part of the Operator. You may cease use of the Interface at any time by disconnecting your wallet from the Interface and ceasing access. Cessation of access does not affect any transaction previously initiated by you. Upon termination of your access, all licences and rights granted under these Terms cease immediately. Clauses that by their nature are intended to survive termination, including clauses 8 (Risk Disclosures), 12 (Limitation of Liability), 13 (Indemnification), 17 (Governing Law), and 18 (Dispute Resolution), shall survive.
17. GOVERNING LAW
You agree that the laws of the United Arab Emirates, without regard to principles of conflict of laws, govern these Terms and any Dispute between you and the Operator. You further agree that the Interface shall be deemed to be based solely in the UAE, and that although the Interface may be available in other jurisdictions, its availability does not give rise to general or specific personal jurisdiction in any forum outside the UAE. You agree that the courts of the United Arab Emirates are the proper forum for any appeals of an arbitration award or for court proceedings in the event that the binding arbitration clause of these Terms is found to be unenforceable.
18. DISPUTE RESOLUTION
READ THIS SECTION CAREFULLY - IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
You and the Operator agree that in the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the access and use of the Interface (individually, a “Dispute”, and collectively, the “Disputes”) between You and the Operator, Users must contact the Operator by sending an email to [email protected]. You and the Operator agree to make a good faith sustained effort to resolve any Dispute before resorting to more formal means of resolution, including, without limitation, any court action. You and the Operator agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any arbitration against the other party. Nothing in this clause shall prevent a party from seeking interim or provisional relief where it is reasonably necessary to do so.
If the informal dispute resolution process should fail to produce a satisfactory result within sixty (60) days of your email, or if any Dispute or portion thereof remains unresolved following such process, you and the Operator agree that such Dispute will be resolved by binding, individual arbitration pursuant to the following provisions of this “Dispute Resolution” clause, and not in a class, representative, or consolidated action or proceeding. You and the Operator agree that UAE law governs the interpretation and enforcement of these Terms. This arbitration provision shall survive termination of these Terms.
Any Disputes arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, or any Dispute regarding non-contractual obligations arising out of or relating to them, shall be referred to and finally resolved by binding arbitration to be administered by the Dubai International Arbitration Centre (DIAC) in accordance with the the DIFC-LCIA Arbitration Rules (the “Arbitration Rules”) in force as at the date of these Terms, which Arbitration Rules are deemed to be incorporated by reference into these Terms. The arbitration shall be conducted in the English language, and the seat of arbitration shall be Dubai International Financial Centre (DIFC), Dubai, UAE. The arbitration shall be determined by a sole arbitrator to be appointed in accordance with the Arbitration Rules. The decision of the sole arbitrator shall be in writing and shall be final and binding upon both parties without any right of appeal, and judgment upon any award thus obtained may be entered in or enforced by any court having jurisdiction thereof. No action at law or in equity based upon any claim arising out of or in relation to these Terms shall be instituted in any court of any jurisdiction, except as specifically permitted herein. Each party waives any right it may have to assert the doctrine of forum non conveniens, to assert that it is not subject to the jurisdiction of such arbitration or courts, or to object to venue, to the extent any proceeding is brought in accordance herewith. Responsibility for payment of all filing, administration, and arbitrator fees will be governed by the Arbitration Rules. Users and the Operator agree that the prevailing party in arbitration will be entitled to an award of attorneys’ fees and expenses to the extent provided under applicable laws.
The arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
USERS AND THE OPERATOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN THEIR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
Further, if the parties’ Dispute is resolved through arbitration, the arbitrator may not consolidate another person’s claims with your claims, and may not otherwise preside over any form of representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this Dispute Resolution section shall be null and void. You and the Operator agree to waive the right to demand a trial by jury.
19. MODIFICATIONS
The Operator reserves the right to amend, update, or replace these Terms at any time. Amended Terms will be posted on the Interface and will take effect immediately upon posting unless a later effective date is specified. The “Effective Date” at the top of these Terms reflects the date of the most recent version. Your continued access to or use of the Interface following the posting of amended Terms constitutes your acceptance of the amended Terms. Users who do not agree to the amended Terms must cease all use of the Interface immediately. The Operator may, but is not obligated to, provide notice of material amendments via the Interface or other communication channels. Users are responsible for reviewing the Interface periodically to check for updates to these Terms.
20. GENERAL PROVISIONS
These Terms, together with any supplemental notices, policies, or addenda published on the Interface, constitute the entire agreement between you and the Operator with respect to the subject matter hereof and supersede all prior or contemporaneous representations, understandings, and agreements, whether written or oral. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
No failure or delay by the Operator in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude any further exercise of the same or any other right or remedy. These Terms are for the sole benefit of the Operator and the User, and do not create any rights or remedies in favour of any third party, except as expressly provided herein.
The Operator shall not be liable for any failure or delay in performance of its obligations under these Terms arising from causes beyond its reasonable control, including acts of God, government actions, pandemics, cyberattacks, blockchain network failures, or failure of third-party infrastructure.
You agree that a breach of these Terms will cause irreparable injury to the Operator for which monetary damages would not be an adequate remedy, and the Operator shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law without a bond, other security, or proof of damages.
